Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you (the "User," "Broker," or "Lender") and Southland Ventures, Inc. d/b/a AcutisLOS ("Company," "we," "us," or "our"), a California corporation. These Terms govern your access to and use of the AcutisLOS Loan Origination System (the "Platform") and any related services.

2. Description of Service

AcutisLOS provides a software-as-a-service (SaaS) platform designed to facilitate the mortgage loan origination process.

• Not a Lender: AcutisLOS is a technology provider. We do not originate, underwrite, or fund loans. We do not make credit decisions or guarantee loan approval.
• Independent Parties: All mortgage brokers, lenders, and third-party service providers (e.g., credit bureaus, appraisers) using the Platform are independent entities. AcutisLOS is not responsible for their acts, omissions, or the accuracy of the data they provide.

3. User Accounts and Security

• Eligibility: You must be at least 18 years of age and authorized to enter into a binding contract. Professional users (Brokers/Lenders) must maintain all necessary state and federal licenses (e.g., NMLS registration).
• Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

4. Compliance with Laws

Users agree to comply with all applicable local, state, and federal laws, including the Gramm-Leach-Bliley Act (GLBA), Fair Credit Reporting Act (FCRA), RESPA, and TILA.

5. Data Ownership and Use

• User Data: You retain ownership of the data you upload. You grant AcutisLOS a limited license to host and process this data solely to provide the Service.
• Anonymized Data: We may use aggregated, de-identified data for analytical purposes and system improvements.

6. Prohibited Conduct

You agree not to use the Platform for fraudulent purposes, attempt to reverse engineer the software, or bypass any security features.

7. Fees and Payment

Brokers and Lenders agree to pay all fees associated with their subscription or usage. We reserve the right to suspend access for non-payment.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUTHLAND VENTURES, INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify Southland Ventures, Inc. against any claims or legal fees arising from your breach of these Terms or misuse of the Platform.

10. Governing Law and Venue

These Terms shall be governed by the laws of the State of California. Any disputes shall be brought exclusively in the state or federal courts located in Orange County, California.

11. Geographic Restrictions (U.S. Use Only)

AcutisLOS is intended for use only within the United States.

• Service Location: The Platform is controlled and operated from within the United States. We make no representation that the Service is appropriate or available for use in other locations.
• User Restriction: You agree not to access the Service from any territory where its contents are illegal.
• Loan Restriction: You agree that you will not use the Service to originate, process, or underwrite any mortgage loans for properties located outside of the United States.
• Export Control: You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the new Terms.
